Marisa Lojas changes chairman of the board – 02/13/2023 – Market

The fashion retail chain Marisa announced on Sunday night (12) that Marcelo Doll Martinelli resigned as chairman of the board of directors. For the executive’s place, the retail chain elected João Pinheiro Nogueira Batista.

The company also announced the resignation of Dilson Batista dos Santos Filho as an independent member of the board, being replaced by Luis Paulo Rosenberg.

Batista was financial director of Petrobras and is chairman of the board of directors of Codesa, in addition to being an adviser to the petrochemical company Braskem, Marisa Lojas said in a statement.

Last week, the company announced the resignation of chief executive Adalberto Pereira Santos and independent member of the board of directors Marcelo Adriano Casarin.

Alberto Kohn de Penhas, commercial vice-president, who assumed the post of CEO on an interim basis, is being investigated by the CVM (Comissão de Valores Mobiliários) for using privileged information – a practice known as “insider trading”.

According to a process filed in April last year at the CVM, Kohn acquired, on October 29, 2021, 160,000 shares of Marisa, worth BRL 661,200. According to the autarchy, he was “in possession of relevant information consistent with the content of the company’s results for the third quarter of 2021, released by Marisa Lojas on November 8, 2021, using the information to take advantage of the purchase of securities .”

At the end of September, Marisa had an adjusted net debt of R$566.1 million, according to the retailer’s third quarter balance sheet. The company’s shareholders’ equity reached R$ 974 million.

The company claims that it hired BR Partners “to advise it in the process of renegotiating its financial debt and Galeazzi Associados to support it in improving the cost structure”.
