Lojas Americanas: former directors prepare legal offensive – 06/15/2023 – Panel SA

Large law firms are already mobilizing against the current board of Americanas, which accused former directors of fraud on the company’s balance sheet without the independent investigation having been completed.

They are considering going to court in the coming weeks for the company to present evidence of the alleged crimes reported to the CPI, which is investigating the case in Congress.

The documents presented by the current president of the network, Leonardo Coelho, indicated the participation of former directors Anna Christina Ramos Saicali, José Timótheo de Barros and Márcio Cruz Meirelles, and former executives Fábio da Silva Abrate, Flávia Carneiro and Marcelo da Silva Nunes .

All of them were removed in February, 23 days after the disclosure of the accounting scandal, in addition to Miguel Gutierrez, former president of the retailer. This group considers going to court.

Behind the scenes, they consider that the company rushed to try to remove responsibility for the so-called accounting inconsistencies of the trio of billionaires Jorge Paulo Lemann, Marcel Telles and Beto Sicupira, founders of Americanas, today reference shareholders.

Sicupira is a member of Americanas’ board of directors and, until recently, acted directly in the operation of the century-old retailer, according to some of the former directors.

In the opinion of the lawyers, the rashness of Americanas in trying to isolate the scandal in the past management of the executives —and not the shareholders— was so explicit that it led the president of the CPI to request a kind of certificate from the company acknowledging, itself, that there was fraud .

For the commission, this document will make it possible to skip stages of the investigation which, instead of proving the fraud, already assumes it as an assumption.
