Eletrobras: Lula wants, but is unable to, change director – 06/07/2023 – Panel SA

President Lula wants to change the government representative on the board of Eletrobras, but is unable to do so. For this reason, he asked the attorney general of the Union, Jorge Messias, to reinforce the request made to the Federal Supreme Court to review the privatization model of the electric company.

Messias, who represents the president at the STF, received the document from the presidency of the Republic on Monday (5). Column got copy.

In it, Lula says that he could not even change the government representative on the board of Eletrobras, the group that determines the company’s guidelines to be executed by the board.

“Inaugurating a new government cycle, nothing more natural that the elected government has the possibility of appointing a trusted person to represent its interests in the company. The company, however, obliges the Union to keep a representative of the trust of the previous management”, says the president in the document.

The Presidency informs that, in February of this year, the Union tried to arrange an Ordinary General Assembly to replace its representative. The request, however, was denied.

In response, Eletrobras informed that there is no seat reserved exclusively for a certain shareholder and that the choice or dismissal of representatives takes place through an Extraordinary General Meeting, which elects a slate.

Lula complains about this to the AGU. She says that there is no support in corporate law.

“The formation of the slate presupposes prior composition among the shareholders, who make use of the appointment of people they trust”, he says.

In the document, he criticizes privatization, which kept the Union’s participation at 43%, but voting with only 10% of the shares.

It reinforced the public role of Eletrobras, which recently had a contract with the Union to act in place of ENBPar, a state-owned company created to operate government social programs focused on energy, such as Luz para Todos.

The company is not ready yet and, therefore, Eletrobras will carry out the function for another year.

The statement by the President of the Republic is a strategy to increase pressure on the Supreme Court, which recently asked the President of the Chamber, Arthur Lira, and the President of the Senate, Rodrigo Pacheco, for an opinion on the case.
